What this covers
These terms apply to operators who choose to run BINS APP branded equipment as part of the Operator Growth Program™. They govern how the BINS APP name, logo and related marks may be used on equipment, and what is expected of equipment that carries them.
Branding is optional. Operators can run their own company branding, BINS APP branding, or a mixed program across different parts of their fleet.
You own your equipment
Branding is applied to equipment you own. Participating in the branded program does not transfer ownership of your equipment, your vehicles, your customer relationships or any interest in your business to BINS APP.
There is no franchise, no territory purchase, no exclusive area and no requirement to operate under BINS APP’s direction. You remain an independent business responsible for your own personnel, insurance, taxes and compliance.
The license you are granted
Subject to these terms, BINS APP grants you a limited license to display approved BINS APP marks on equipment approved for the branded program.
- Non-exclusive. Other operators may hold the same license in the same market.
- Non-transferable and non-sublicensable. It does not pass to a buyer, a subcontractor or an affiliate.
- Revocable. It can be withdrawn as described below.
- Limited in scope. It covers the equipment and uses approved in writing, and nothing else.
All rights in the marks remain with BINS APP CORP. The license grants no ownership interest, and any goodwill arising from your use of the marks accrues to BINS APP CORP.
Approved uses
Artwork, colors and placement must be approved before application. Equipment configuration options offered in the platform — container system, size, color and branding treatment — are the starting point for that approval, not a substitute for it.
Where you are running your own company branding or custom artwork, you are responsible for having the rights to the artwork you supply, and for it not infringing anyone else’s trademarks or copyright.
Prohibited uses
Without separate written permission, you may not do any of the following.
- Alter, redraw, recolor, stretch, crop or add to the BINS APP marks.
- Combine the marks with your own or a third party’s marks in a way that suggests a joint venture, ownership or endorsement.
- Use the marks in your legal or trading name, domain names, email domains, social media handles or app listings.
- Register or attempt to register the marks, or anything confusingly similar, anywhere in the world.
- Use the marks on equipment, vehicles, uniforms, signage, advertising or merchandise that has not been approved.
- State or imply that you are a franchisee, employee, agent or subsidiary of BINS APP CORP, or that you are authorized to bind it.
- Use the marks in a way that is misleading, disparaging, or associated with unlawful or unsafe activity.
Standards for branded equipment
Branded equipment represents the platform to customers who may never have dealt with your business before, so it carries expectations beyond those that apply to unbranded work.
- Condition. Equipment must be structurally sound, safe and maintained.
- Presentation. Graphics must be intact and legible. Faded, peeling, damaged or defaced branding must be repaired or removed.
- Cleanliness. Equipment must be presented in a clean condition appropriate to the service.
- Service performance. The performance standards in the Operator Performance Policy apply, and are applied more strictly to branded equipment.
- Safe placement. Placement and removal must be carried out safely and in compliance with applicable regulations.
BINS APP may ask for photographs of branded equipment to confirm these standards are being met, and may ask for a specific unit to be repaired, re-wrapped or withdrawn from branded service.
Credits and program benefits
Completed jobs run on BINS APP branded equipment accrue fleet credits at a higher rate than jobs run on unbranded equipment. The applicable rate is a configuration value that can be adjusted, and the current value is reflected in your operator portal.
Fleet credits have no cash value and are governed by the Operator Growth Program Terms. Running branded equipment does not guarantee any volume of work, any tier, or any financing outcome.
Costs
Unless a written agreement says otherwise, the cost of applying, maintaining, repairing and removing branding is the operator’s. Where branding is applied as part of an equipment package, the treatment of those costs will be set out in the quote for that package.
Pricing for branded and unbranded equipment is quoted through the same configuration and pricing request process, and is not published, because it varies by configuration, market and supply partner.
Suspension and termination
The branding license may be suspended or terminated where you no longer pass the quality gate, where required insurance or licensing lapses, where branded equipment falls below the standards above and is not corrected, where you breach the Operator Agreement, or where you withdraw from the program.
The license also ends automatically if your operator account is terminated, or if you sell or transfer the branded equipment.
Removal on exit
When the license ends, you must stop presenting the equipment as BINS APP branded and remove or fully cover the marks within a reasonable period, and in any event before the equipment is next placed with a customer. Unless agreed otherwise, removal is at the operator’s cost.
Equipment being sold or transferred must have BINS APP branding removed before it changes hands.
Reporting misuse
If you see BINS APP branding being used by someone who does not appear to be authorized, or used in a way that misrepresents the platform, please report it so it can be investigated. Trademark and copyright matters generally are covered by the Intellectual Property Notice.
Governing law
BINS APP CORP is located in Orlando, FL. This document is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
The state and federal courts located in Orange County, Florida are the agreed venue for any dispute arising out of or relating to this document, except where applicable law requires a different venue. Nothing here is intended to waive a right that cannot be waived under applicable law.
